These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Sites") operated by PMS - Property Management System ("Company," "we," "us," or "our"). By accessing or using our Sites, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1 Ownership & Intellectual Property
All content on our Sites — including but not limited to text, graphics, logos, images, software, and code — is owned by or licensed to the Company and is protected by applicable copyright, trademark, and intellectual property laws. You are granted a limited, personal, non-exclusive, non-commercial, revocable license to access and view the Sites for your own lawful use.
You may not copy, reproduce, republish, scrape, upload, post, transmit, distribute, or use any content for commercial purposes without our prior written consent. Feeding our content into large language models, artificial intelligence technologies, or other machine learning tools is expressly prohibited.
2 User Accounts
To access certain features of our platform, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password confidential and not share it with any third party
- Notify us immediately of any suspected unauthorized use of your account
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that violate these Terms, without notice and at our sole discretion.
3 User Content
By submitting, uploading, or posting any content (including photos, descriptions, reviews, or messages) through our platform, you grant the Company a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute such content in connection with operating and improving our services.
You represent and warrant that:
- You own or have the necessary rights to the content you submit
- Your content does not infringe any third-party intellectual property, privacy, or other rights
- Your content is accurate and not misleading
The Company has no obligation to monitor user-generated content but reserves the right to remove any content that violates these Terms or applicable law.
4 Prohibited Conduct
You agree not to use our Sites to:
- Transmit viruses, malware, or any other harmful or disruptive code
- Harass, threaten, defame, or intimidate any person
- Post or transmit content that is violent, obscene, offensive, or promotes illegal activity
- Impersonate any person or entity or misrepresent your affiliation
- Collect or harvest personal information about other users without consent
- Circumvent, disable, or interfere with security-related features of the platform
- Use automated tools (bots, scrapers, crawlers) to access or extract data from our Sites
- Engage in any activity that violates applicable federal, state, or local laws
5 Platform Services & Payments
Our platform facilitates property management services between property owners, tenants, and vendors. By using our paid services, you agree to:
- Pay all applicable subscription fees and charges as described at the time of purchase
- Provide valid, current payment information processed securely through Stripe
- Authorize us to charge your payment method on the agreed billing cycle
- All fees are non-refundable unless otherwise specified in our refund policy
We reserve the right to modify pricing with reasonable advance notice to subscribers.
6 Property Owner Responsibilities
As a property owner using our platform, you agree to:
- Provide accurate and up-to-date property information
- Comply with all applicable housing laws, regulations, and fair housing requirements
- Respond to tenant maintenance requests and communications in a timely manner
- Maintain proper insurance coverage for your properties
- Ensure all listed properties meet applicable safety and habitability standards
7 Tenant Responsibilities
As a tenant using our platform, you agree to:
- Provide accurate and truthful information in your rental application
- Pay rent on time as per the terms of your lease agreement
- Report maintenance issues promptly and accurately through the platform
- Respect the property and adhere to all community and house rules
- Not sublease or allow unauthorized occupants without written consent
- Not use the platform for any illegal activities
8 Vendor Responsibilities
As a vendor on our platform, you agree to:
- Hold all applicable licenses, certifications, and insurance required for your trade
- Provide professional, quality, and timely services
- Communicate clearly and promptly with property owners
- Complete assigned work orders to the standard described
- Maintain professional conduct at all times while representing the platform
9 Disclaimers
OUR SITES AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Sites will be uninterrupted, error-free, or free of viruses or other harmful components. The accuracy or completeness of any information on the Sites is not guaranteed.
10 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO YOUR USE OF OUR SITES OR SERVICES SHALL NOT EXCEED THE GREATER OF $10.00 OR THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11 Dispute Resolution & Arbitration
Any dispute arising from or relating to these Terms or your use of the Sites shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), rather than in court. You waive your right to participate in any class action lawsuit or class-wide arbitration.
- Governing Law: These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
- Venue: Arbitration and any permitted court proceedings shall take place in Dallas, Texas.
- Exception: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights.
12 Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Sites, your violation of these Terms, or any content you submit through the platform.
13 Modifications to Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Effective Date" and notify users via email or a platform announcement. Your continued use of the Sites after any changes constitutes your acceptance of the updated Terms.
14 Termination
We may suspend or terminate your access to the Sites at any time, with or without cause or notice, at our sole discretion. Upon termination, all licenses granted to you will immediately cease. Provisions that by their nature should survive termination — including ownership, disclaimers, indemnification, and dispute resolution — shall survive.
